LIVINGLOVE SUPERFOODS LLC RESELLER AGREEMENT

This Reseller Agreement is made on the effective date stated below, between LivingLove

Superfoods LLC and ___________________________________(Company/Name) (“Reseller”)

This agreement is entered into ______________________(Today’s date).

Guidelines:

  1. Price. Reseller may only advertise and sell LivingLove Superfoods products at or above the MSRP prices unless otherwise specified and agreed upon between LivingLove Superfoods and Reseller. LivingLove Superfoods will give a minimum 15 days notice of price changes to Reseller in writing via letter and email to the addresses provided by the Reseller.
  2. Secondary Sellers. Reseller will insure any of their secondary resellers adhere to the LivingLove Superfoods pricing policy. No products or goods purchased from or produced by LivingLove Superfoods shall be resold by or through any on-line auction or online store (such as Ebay, Amazon or other similar sites) without the express, written authority of LivingLove Superfoods. If Reseller is planning to sell products produced by LivingLove Superfoods in an online marketplace/store, it must be owned by the entity applying to be a Reseller.
  3. Orders. Wholesale orders will be placed via the LivingLoveSuperfoods.com website using a Promo Code provided to each reseller for the purpose of accessing wholesale prices.  Methods of payment accepted by our ecommerce site include PayPal and Credit Card.  Orders can be shipped to Reseller, delivered, or picked up from our Eugene based location as designated upon checkout. An email will be sent to notify Reseller when order is fulfilled and ready.  Fulfillment may take up to 3 days.  Reseller is responsible for all shipping costs. It is expected that orders placed using the assigned Promo Code are made for resale and customer accounts will be reviewed periodically.
  1. Packaging. Reseller has the right to sell each individual bagged product as it is received from LivingLove Superfoods and MAY NOT repackage or rebrand the product. A bagged product CANNOT be opened by the reseller, sold in smaller quantities, or sold under a different name. Reseller may apply a pricing sticker.
  1. Storage. The Reseller will store the product in a dry, well-ventilated environment in order to maintain quality and longevity. LivingLove Superfoods is not responsible for products that are stored in an insufficient manner by Reseller.
  1. Best Before.  LivingLove Superfoods expects the Reseller to practice good inventory management and to remove any product that has exceeded it’s best before date from shelves.
  1. Defective or Damaged Product. In the event that the product is found to be defective or damaged within three (3) days of acceptance of the product, the Reseller shall promptly notify LivingLove Superfoods, by email or phone call, of the existence of such defective or damaged product.  Both the Reseller and LivingLove Superfoods shall, in good faith, work to resolve the problem.
  1. Returns. LivingLove Superfoods is not responsible and will not accept returns from a retail customer who purchased product from the Reseller.  Both the Reseller and LivingLove Superfoods shall, in good faith, work to resolve the concerns of the retail customer.
  1. Merchantability and Misrepresentations. Reseller agrees that LivingLove Superfoods makes no warranty, express or implied, as to the merchantability of LivingLove Superfoods products. Reseller also agrees that LivingLove Superfoods is not liable for any misuse or misrepresentations of the goods by the Reseller or the final retail purchaser or consumer, and indemnifies LivingLove Superfoods for any legal actions that emanate from such actions.  Reseller may not make any health claims or benefits regarding the products outside of what exists in LivingLove Superfoods literature and website.
  2. Buyer-Seller Relationship. The relationship created by this agreement is solely a buyer-seller relationship. This agreement does not make either party the employee, agent, or legal representative of the other for any purpose whatsoever.
  1. Termination. This agreement can be terminated by either party for cause or convenience with thirty (30) days written notice.  
  1. Enforcement. LivingLove Superfoods may, at its own discretion, stop supplying products to any reseller found to be in violation of this Reseller Agreement.

By signing below the Reseller acknowledges that it has read, understands, and agrees, to be bound by all terms and conditions of this Reseller Agreement.
